1. Overview

nwa.tech (the “Service”) is operated by an individual in the United States (the “Operator”) in a personal capacity. No company entity has been formed. The Service facilitates discovery, posting, and organization of meetups and events, including for local nonprofits.

2. Acceptance of Terms

By accessing or using the Service, you acknowledge and agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not access or use the Service.

3. Eligibility and Accounts

a. You must be at least 13 years old, or older where required by applicable law.

b. You are responsible for the security of your account credentials and all activity under your account.

c. The Operator may refuse, suspend, or terminate accounts or access at their discretion.

4. User Content; License

a. You are solely responsible for content you submit, post, or share through the Service (“User Content”).

b. You represent and warrant that you have all rights necessary to submit the User Content and that it does not violate law or third-party rights.

c. You grant the Operator a nonexclusive, worldwide, royalty-free license to host, store, display, perform, reproduce, modify (solely for formatting), and distribute User Content for the purpose of operating, improving, and promoting the Service.

d. The Operator may remove or restrict User Content at any time for any reason or no reason.

5. Prohibited Conduct

You agree not to:

a. Post or facilitate anything illegal, fraudulent, deceptive, harassing, defamatory, infringing, violent, hateful, or otherwise harmful.

b. Interfere with the security or operation of the Service, attempt to bypass access controls, or introduce malware.

c. Collect or harvest information in violation of law or these Terms.

d. Misrepresent your identity or affiliation, or impersonate others.

6. Third-Party Content, Links, and Events

The Service may reference or link to third-party websites, services, organizations, or events. The Operator does not control, endorse, or assume responsibility for third parties, their content, safety, policies, practices, or availability. Your interactions with third parties are solely between you and them.

7. No Professional Advice

Content on the Service is provided for general informational purposes only and does not constitute legal, medical, safety, or other professional advice. You remain solely responsible for your decisions and actions, including attendance at or hosting of events.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AVAILABILITY, AND NON-INFRINGEMENT. EVENTS MAY CHANGE, BE CANCELED, BE MISREPRESENTED, OR PRESENT RISKS. YOU ASSUME ALL RISK RELATED TO YOUR USE OF THE SERVICE AND ANY EVENT PARTICIPATION.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE, USER CONTENT, OR ANY EVENTS. THE OPERATOR'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF: (A) USD $0; OR (B) THE AMOUNTS YOU PAID (IF ANY) FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless the Operator from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content or events; (c) your breach of these Terms or applicable law; or (d) your interactions with third parties.

11. Changes; Availability; Termination

The Operator may modify the Service or these Terms at any time. Changes are effective upon posting with an updated Effective Date. Continued use constitutes acceptance. The Operator may suspend or discontinue the Service, or terminate or suspend your access, at any time, with or without notice.

12. Fees and Future Monetization

The Operator may introduce paid features, donations, advertising, or other monetization in the future. Any fees and related terms will be disclosed at or prior to purchase and incorporated into these Terms.

13. Governing Law; Venue

These Terms are governed by the laws of the U.S. state of the Operator's residence, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in the county/parish of the Operator's residence.

14. Severability; Waiver; Assignment

If any provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce any provision is not a waiver. You may not assign or transfer these Terms without prior written consent. The Operator may assign these Terms in connection with a transfer of the Service.

We collect information you provide (e.g., account details, event information) and technical data (e.g., IP address, device/browser, cookies) to operate and improve the Service. We may share information with service providers, to comply with law, and to protect safety and the Service. We do not sell personal data. Contact us for access or deletion requests where applicable.
